Terms of Service
These Terms of Service ("Terms") govern access to and use of the services provided by HOST LOGIC LIMITED ("Host Logic", "we", "us", "our"), a company registered in Ireland (CRO No. 809382) with its registered address at Venture Hub, 136 Capel Street, Dublin, D01 T2C9, Ireland, through the website https://hostlogic.io ("Platform").
By accessing or using the Platform, you ("User") agree to be bound by these Terms.
1. The Services
1.1 AI Receptionist (Laura)
An AI-powered virtual receptionist service that automatically responds to guest enquiries, handles booking-related communication, and integrates with OTA platforms on behalf of property managers.
1.2 Revenue Management
An automated pricing and revenue optimisation system for accommodation providers, using AI-based algorithms for dynamic pricing and revenue maximisation.
1.3 Additional Agents
Host Logic may offer additional AI agents and automation tools from time to time, including appointment scheduling, guest service desk, and multilingual communication features. Availability depends on the User's subscription plan.
1.4 Pricing
Service fees are set out on the Platform. Host Logic reserves the right to modify pricing and will notify Users in advance of any changes.
2. User Obligations
The User agrees to:
- Provide accurate and complete information at registration
- Keep account credentials secure and confidential
- Use the services lawfully and for their intended purpose
- Not attempt to compromise or circumvent system security
- Not use the services to infringe the rights of third parties
- Ensure they hold all necessary rights and permissions over data uploaded to the Platform
3. Provider Rights and Obligations
3.1 Service Provision
Host Logic will provide the services at a level of quality consistent with industry standards. Host Logic targets 99.5% uptime availability, excluding scheduled maintenance windows.
3.2 Maintenance
Host Logic reserves the right to carry out scheduled and emergency maintenance. Users will be notified of planned maintenance at least 48 hours in advance where possible.
3.3 Suspension and Termination
Host Logic may suspend or terminate the service if:
- The User breaches any provision of these Terms
- The User has outstanding payment obligations
- Continued use poses a risk to system security or other users
- Required by applicable law or regulatory order
4. Data Protection
Host Logic is committed to protecting personal data in accordance with applicable law. Full details of how personal data is processed are set out in the Privacy Policy, which complies with the GDPR and other applicable privacy regulations.
4.1 Data Processor Role
Where Host Logic processes personal data on behalf of the User (including guest data), Host Logic acts as a Data Processor. The terms of such processing are set out in the Data Processing Agreement (DPA).
4.2 Google Account Integration
Where the User connects a Google account to the Platform, Host Logic will access Gmail and/or Google Calendar data solely for the purposes described in the Privacy Policy. Host Logic's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.
5. Intellectual Property
The Platform and all services (including software, algorithms, design, and content) are protected by copyright, trademark, and other intellectual property rights. All rights are reserved by Host Logic or its licensors.
Use of the services does not transfer any ownership rights to the User. The User may use the services solely for the purposes permitted under these Terms.
6. Limitation of Liability
6.1 Host Logic's Liability
Host Logic shall not be liable for:
- The content of data uploaded by the User to the Platform
- Business decisions made by the User based on platform outputs
- Loss or damage caused by third-party platforms (e.g. OTAs)
- Force majeure events (natural disaster, war, terrorism, etc.)
- Unlawful activities carried out by the User
Host Logic's total aggregate liability shall not exceed the amounts paid by the User in the 12 months preceding the relevant claim.
6.2 User Liability
The User is solely responsible for all activities carried out via their account and for the lawfulness of all data they upload to the Platform.
7. Payment Terms
Service fees are charged in advance, on a monthly or annual basis, according to the User's chosen plan. Payment may be made by credit or debit card or bank transfer.
In the event of late payment, Host Logic may charge statutory interest and suspend access to the service.
8. Term and Termination
8.1 Termination by User
The User may cancel their subscription at any time with immediate effect. Fees already paid are non-refundable unless Host Logic decides otherwise at its discretion.
The User may also permanently delete their account from the account settings page (Profile → Delete account). Doing so immediately cancels all active subscriptions, permanently deletes the User's properties and associated content, and anonymises the User's personal data, as described in Section 8 of the Privacy Policy. Financial records required for accounting and tax purposes are retained in anonymised form.
8.2 Termination by Host Logic
Host Logic may terminate these Terms on 30 days' written notice.
8.3 Termination for Cause
Either party may terminate immediately upon a material breach by the other party that has not been remedied within a reasonable period of written notice.
9. Amendments to These Terms
Host Logic reserves the right to amend these Terms. Users will be notified by email at least 30 days before any material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
10. Dispute Resolution
The parties will attempt to resolve any disputes arising out of these Terms or use of the services amicably through negotiation. If this is unsuccessful, the parties submit to the exclusive jurisdiction of the courts of Ireland.
Users resident in the European Union may also use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.
11. Governing Law
These Terms are governed by the laws of Ireland, including applicable provisions of Irish contract law, the European Communities (Directive 2000/31/EC) Regulations 2003 (S.I. No. 68/2003), the Consumer Rights Act 2022, and Regulation (EU) 2016/679 (GDPR).
